1. Nature of our business

109 Capital Partners LLP ("109 Capital," "we," "us," or "our") is a private business development and investment company. We develop business plans and build businesses that are designed to support community programs and non-profit efforts - the core idea being to create a business whose profits sustain a community need. Companies seeking expansion to deepen their community impact may ask to be part of this effort. Once our investment fund is established, we intend to invest in such businesses so that their profits can support non-profit and humanitarian work. Any capital for our projects is arranged privately and by direct invitation with a limited number of qualified investors, such as private family offices. We do not solicit or accept investments from the public, we do not conduct any public offering or general solicitation, and we do not offer any investment through this website. Our investment fund is not yet operational.

2. We are not a bank

We are not a bank, trust company, credit union, or other depository or chartered financial institution. We do not accept deposits, hold client funds, extend credit, or make loans. Any banking or lending services are provided solely by the relevant licensed institutions, not by 109 Capital.

109 Capital is not registered as a broker-dealer under the Securities Exchange Act of 1934 or with any state, and is not registered as an investment adviser under the Investment Advisers Act of 1940 or any state law. We do not effect transactions in securities for the account of others, do not hold or handle investor funds or securities, and do not provide investment advice or recommendations regarding any security.
